Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Paki Logistics LLC (“Paki Logistics,” “we,” “us”). They cover your use of our website at pakilogisticsllc.com, the PAKTMS transportation management system (Windows desktop app and cloud sign-in), and the PAK Driver mobile app (together, the “Services”).

1. Acceptance

By using the Services you agree to these Terms and to our Privacy Policy. If you use the Services for a company, you confirm you are authorized to accept these Terms for that company, and “you” includes that company. If you do not agree, do not use the Services.

2. The Services

  • Website: information about Paki Logistics' trucking services, driver opportunities and PAKTMS.
  • PAKTMS: software for trucking companies, including load search across connected load boards and broker APIs, a built-in softphone, dispatch, safety document tracking, accounting and paystubs, and a live truck map.
  • PAK Driver: a mobile app that lets a carrier's drivers receive loads, scan documents and message dispatch.

3. Website, quotes and applications

  • Information on the website is general and may change without notice.
  • Quote requests are not binding. A load is accepted only when both parties agree to a written rate confirmation or other shipping agreement. The transportation itself is governed by that agreement, the bill of lading and applicable law, not by these Terms.
  • Submitting a driver or owner operator application does not create an offer of employment or a lease agreement. Any hire or lease is subject to our qualification process, required federal and state checks, and a separate written agreement.
  • Website forms open your own email app. You are responsible for the accuracy of the information you send.

4. PAKTMS and PAK Driver license

Subject to these Terms and any order, quote or license agreement you sign with us (an “Order”), we grant you a limited, non-exclusive, non-transferable, revocable license to install and use PAKTMS and PAK Driver for your internal business operations during your subscription or license term. If an Order conflicts with these Terms, the Order controls. You may not resell, sublicense or rent the software, or reverse engineer it except where the law expressly allows. Mobile app use is also subject to the terms of the app store you downloaded it from.

5. Accounts

  • You must give accurate information and keep your sign-in credentials secure. You are responsible for activity under your accounts.
  • Carrier customers control which of their staff and drivers get accounts, and are responsible for removing access when someone leaves.
  • Tell us right away at joe@pakilogisticsllc.com if you suspect unauthorized access.
  • You can request account deletion at any time by emailing joe@pakilogisticsllc.com, as described in our Privacy Policy.

6. Your data

You keep ownership of the business data, documents and content you put into PAKTMS and PAK Driver (“Customer Data”). You give us permission to host, process and display Customer Data only as needed to provide, secure and support the Services and as described in the Privacy Policy. You are responsible for having the rights and consents needed for the Customer Data you upload, including driver information. Documents stored in your own Google Drive remain under your control.

7. Third-party services

Some features work with services we do not control, such as Google Drive and Gmail, Samsara, load boards and broker APIs (for example Echo and Truckstop) and telephone carriers. To use them you may need your own account, subscription or credentials with those providers, and their terms and privacy policies apply. We are not responsible for third-party services, their availability, or the accuracy of the load, location or other data they provide. Access to Google data is handled as described in our Privacy Policy, including the Google API Services User Data Policy and its Limited Use requirements.

8. Acceptable use

You agree not to:

  • Break any law, or use the Services for fraud, double brokering, identity theft or misrepresenting your operating authority.
  • Use the softphone or auto-caller for unsolicited marketing calls, robocalls, or in violation of telemarketing, call-recording or caller-ID laws.
  • Scrape, overload, or misuse connected load boards or broker APIs, or break their terms.
  • Upload malware, try to gain unauthorized access, or interfere with the Services or other users.
  • Upload content you do not have the right to share.

9. Your compliance responsibilities

PAKTMS helps you organize your operation, but it does not replace your own legal duties. Expiration warnings, paystub calculations, locations and load information are tools to assist you. You remain responsible for FMCSA and DOT compliance, hours of service and ELD rules, driver qualification, insurance, payroll, tax and employment law, and for checking the accuracy of every document, paystub and load before you rely on it.

10. Intellectual property

The Services, including the PAKTMS and PAK Driver software, design, logos and the “Paki Logistics,” “PAKTMS” and “PAK Driver” names, are owned by Paki Logistics LLC and protected by law. These Terms do not give you any rights to them except the limited license above. If you send us feedback, we may use it without obligation to you.

11. Purchases and payment

PAKTMS pricing is provided by quote. Fees, billing terms, term length and any refunds are set out in your Order. Unless the Order says otherwise, fees are due as invoiced and do not include taxes. We may suspend access for undisputed amounts that remain unpaid after notice.

12. Disclaimers

We work hard to keep the Services reliable, but they are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted or error-free, or that load, GPS or third-party data will be complete or accurate.

13. Limitation of liability

To the fullest extent the law allows, Paki Logistics will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, loads or data, arising from the Services. Our total liability for any claim related to the Services will not exceed the amount you paid us for the Services in the 12 months before the claim (or $100 if you paid nothing). Nothing in these Terms limits liability that cannot be limited by law. Liability for freight we haul is governed by the applicable shipping agreement and law, not by this section.

14. Indemnification

You agree to defend and indemnify Paki Logistics against third-party claims arising from your misuse of the Services, your Customer Data, or your violation of these Terms or the law.

15. Suspension and termination

You may stop using the Services at any time. We may suspend or end access if you breach these Terms or an Order, if required by law, or to protect the Services or other users. When access ends, your license ends. For a reasonable period, normally 30 days, we will let you request an export of your Customer Data, after which it is deleted as described in the Privacy Policy.

16. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable federal law, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Pennsylvania, unless the law requires otherwise or an Order says differently.

17. Changes

We may update these Terms. We will post the new version here with a new “Last updated” date and, for significant changes, give additional notice. Continuing to use the Services after changes take effect means you accept them.
